1. Scope & Relationship to Other Policies

This Disclaimer supplements the AlgoRift Terms of Service and Privacy Policy. It applies to all visitors, sellers, brands, agencies, affiliates, and partners using AlgoRift marketplace discovery, performance analytics, messaging, and payout automation.

Where this Disclaimer conflicts with project-specific agreements, order forms, or regulatory commitments, the negotiated agreement prevails. Otherwise, this document clarifies expectations similar to disclaimers published by Levanta.io, PartnerBoost, WayWard, and ArcharAffiliates.

2. No Warranty & As-Is Status

AlgoRift provides its Platform, APIs, analytics, and support "as-is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise. This includes but is not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, availability, error-free operation, or results accuracy.

We do not warrant that campaign benchmarks, projections, or revenue models will match actual performance. Algorithmic recommendations rely on inputs from multiple systems that may change without notice. Compatibility with third-party services is contingent on their uptime, policies, and APIs.

3. Limitation of Liability

To the maximum extent permitted by law, AlgoRift, its parent entities, subsidiaries, directors, officers, employees, contractors, partners, and agents are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages. This includes lost profits, lost revenue, anticipated savings, goodwill, reputation harm, data loss, or business interruption arising from or related to Platform use, even if advised of the possibility.

AlgoRift's cumulative liability for direct damages will not exceed the greater of (a) the amount paid to AlgoRift for the services giving rise to the claim in the six (6) months preceding the event or (b) one hundred USD (US $100). Some jurisdictions do not allow certain limitations; in such cases, our liability shall be limited to the fullest extent permitted.

4. User & Member Responsibilities

• Due diligence: Evaluate counterparties independently. AlgoRift does not guarantee the background, creditworthiness, or integrity of members.
• Compliance: Follow applicable advertising, consumer protection, privacy, tax, and intellectual property laws.
• Security: Protect your credentials, API keys, and devices. Report suspicious activity immediately.
• Content accuracy: Ensure content, briefs, and listings are truthful and non-infringing. AlgoRift may moderate content but is not obligated to do so.
• Backup: Maintain backups of critical information. Platform data exports may be subject to limits or change without notice.

5. Seller & Affiliate Program Disclosures

5.1 Matchmaking & Vetting

AlgoRift offers tools to connect sellers/brands with affiliates and agencies. Participation does not represent an endorsement or guarantee of suitability. Users must independently assess strategic fit, compliance, and brand safety.

5.2 Commission & Payout Models

Commission structures, payout schedules, and performance metrics are configured by sellers or program managers. AlgoRift is not liable for disputes over compensation, attribution, or contract terms between counterparties.

5.3 Program Outcomes

Past performance indicators, forecast dashboards, or competitive benchmarks are illustrative. Results may vary based on market conditions, pricing changes, product availability, promotional compliance, and third-party algorithms.

6. Marketplace & Third-Party Listings

Marketplace listings, product details, and creative assets are provided by sellers or affiliates. AlgoRift does not guarantee accuracy, legality, or availability. Transactions between users occur at their own risk and are governed by separate agreements between the parties.

Third-party platforms (e.g., Amazon, TikTok, Meta) maintain independent policies. Access to such platforms may be revoked at any time, affecting integrations without liability to AlgoRift.

7. Data, Analytics & Attribution

Analytics outputs are derived from multiple data sources, including user-submitted data, APIs, pixel tracking, and third-party connectors. Data integrity may be impacted by latency, API rate limits, attribution methodologies, or configuration errors outside of AlgoRift's control.

We disclaim responsibility for decisions made based on analytics visualizations, attribution models, or recommendations. Users should validate insights against their own records before acting.

8. Compliance, Regulatory & Tax

AlgoRift provides compliance tooling (e.g., disclosure templates, audit logs) but does not provide legal, tax, or accounting advice. Users should consult qualified professionals to interpret obligations under FTC regulations, Amazon policies, GDPR, CCPA/CPRA, Australian law, or other jurisdictional requirements.

Tax calculations, reporting duties, and cross-border payout implications remain the responsibility of program owners and affiliates. AlgoRift is not responsible for penalties, interest, or back taxes arising from inaccurate filings.

9. Refunds, Credits & Service Interruptions

Unless stated in a specific order form or required by law, AlgoRift subscriptions, onboarding fees, and payouts facilitation charges are non-refundable. Credits may be issued at AlgoRift's discretion for prolonged outages or verified platform defects.

Service interruptions may occur due to maintenance, infrastructure incidents, third-party outages, or force majeure events. We are not liable for losses resulting from downtime, data delays, or access restrictions.

10. Third-Party Links & External Platforms

Links to third-party sites or partner offers are provided for convenience. AlgoRift does not control third-party content, privacy practices, availability, or performance. Engagement with third parties is at your own discretion and subject to their terms.
