AlgoRift Terms of Service

1. Acceptance of Terms

AlgoRift ("AlgoRift", "we", "our", or "us") provides a SaaS platform that empowers brands, agencies, sellers, and affiliates to manage acquisition programs, performance analytics, and cross-channel payouts. By creating an account, activating a subscription, integrating third-party data, or otherwise using the AlgoRift services (collectively, the "Platform"), you agree to be bound by these Terms of Service (the "Terms"). If you do not agree, you must not access or use the Platform.

If you accept these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity. Multiple environment deployments (development, test, production) are governed by the same Terms unless separate written agreements apply.

2. Definitions

Capitalized terms used in these Terms have the following meanings:

• Account: A unique profile provisioned to access specific features, integrations, or environments within the Platform.
• Affiliate: A marketing partner who promotes sellers' products or services through AlgoRift tracking, analytics, or payout tooling.
• Authorized User: Any person permitted by you to access the Platform under your subscription, including employees, contractors, agencies, and consultants.
• Confidential Information: Non-public information exchanged between the parties, including financial, technical, strategic, or personally identifiable information.
• Data: All information uploaded, imported, connected, or generated within the Platform, including Seller Data, Affiliate Data, attribution data, payment details, and analytics outputs.
• Documentation: Official guides, onboarding materials, developer resources, and support articles published by AlgoRift.
• Free Trial: A limited-time evaluation period with restricted features or usage thresholds.
• Marketplace: AlgoRift's environment that connects sellers and affiliates, including discovery tools and communication hubs.
• Order Form: A mutually executed document (digital or physical) detailing subscription tier, usage limits, custom features, or negotiated pricing.
• Services: The Platform, APIs, integrations, onboarding, consulting, support, and managed features offered by AlgoRift.
• Taxes: All applicable sales, VAT, GST, withholding, duties, or other government-imposed fees.

3. Eligibility & Registration

3.1 Legal Capacity

You must be at least 18 years old and able to form legally binding contracts. AlgoRift may require proof of identity, business registration, or payment authorization before enabling full access.

3.2 Accurate Information

You agree to provide complete, accurate, and current information during onboarding and to update it promptly when changes occur. AlgoRift may suspend or terminate access if information is incomplete, fraudulent, or misleading.

3.3 Verification

We may conduct Know Your Customer (KYC), Know Your Business (KYB), anti-money laundering (AML), or sanctions screenings. If you fail verification or appear on restricted lists, AlgoRift may deny access or terminate your account without liability.

4. Platform Scope

AlgoRift offers progressive feature tiers comparable to partner marketing platforms including Levanta.io, PartnerBoost, WayWard, and ArcharAffiliates, while providing advanced automation and analytics tailored to Amazon and multichannel attribution. Core components include:

• Marketplace & Discovery: Curated directories, matchmaking tools, and brief templates enabling verified sellers and affiliates to collaborate.
• Performance Analytics: Dashboards, cohort reporting, attribution models, and alerts across dev, test, and production environments.
• Payout Automation: Scheduled, rules-based disbursements with compliance controls, currency conversions, and export-ready audit trails.
• Messaging & Collaboration: Secure messaging, deal memos, creative approvals, and campaign tasking within affiliate teams.
• Integrations & APIs: Connections to advertising platforms, ecommerce channels, CRM systems, and payment processors.
• Compliance & Governance: Roles-based access, audit logs, legal templates, and policy controls supporting regulated industries.

5. Account Management & Security

5.1 Credentials

You are responsible for maintaining the confidentiality of login credentials, MFA tokens, API keys, and secure device configurations. Notify AlgoRift immediately of any suspected compromise.

5.2 Authorized Users

You may provision Authorized Users within purchased seat limits. You are liable for all actions taken by Authorized Users. AlgoRift may require role-based controls to align with data residency or privacy obligations.

5.3 Environment Segmentation

Separate credentials, data sets, and API keys must be used for development, test, and production environments. Moving data between environments is your responsibility and must comply with data protection laws and these Terms.

6. Subscriptions, Billing & Payouts

6.1 Order Forms & Plans

Subscriptions are governed by Order Forms or online plan selections. Each subscription defines permitted usage, integrations, seats, data retention periods, and SLA commitments. If consumption exceeds limits, AlgoRift may invoice overage fees or require plan upgrades.

6.2 Billing & Payment

You authorize AlgoRift or its payment processors to charge fees to your designated payment method on a recurring basis. Fees are non-refundable unless mandated by law or explicitly stated in the Order Form. Late payments accrue 1.5% interest per month or the maximum allowed by law.

6.3 Taxes

Fees exclude Taxes. You are responsible for applicable Taxes, excluding AlgoRift's income taxes. If withholding is required, you will gross-up the payment so AlgoRift receives full amounts due.

6.4 Fee Changes

AlgoRift may revise pricing upon renewal by providing at least 30 days' notice. Continued use after the effective date constitutes acceptance.

6.5 Payout Services

Payout facilitation is subject to additional onboarding, including bank validations and compliance checks. You authorize AlgoRift to initiate credits and debits to facilitate payouts, resolve chargebacks, or correct errors. AlgoRift may delay or reverse payouts for suspected fraud, policy breaches, insufficient funds, or regulatory inquiries.

7. Seller & Affiliate Obligations

7.1 Program Compliance

You must provide accurate campaign briefs, commission schedules, and promotional guidelines. Affiliates must comply with FTC disclosure rules, Amazon and marketplace policies, and any territorial or channel restrictions.

7.2 Quality Standards

AlgoRift may review creative assets, messaging, and placements to ensure alignment with brand safety, accessibility, and platform policies similar to those enforced by Levanta.io, PartnerBoost, WayWard, and ArcharAffiliates. We may require remediation or remove content that violates policies.

7.3 Prohibited Conduct

• Engaging in fraudulent clicks, impressions, leads, or conversions.
• Misrepresenting affiliation with AlgoRift or partner brands.
• Using bots, malware, or unauthorized scraping.
• Promoting illegal, hateful, infringing, or deceptive content.
• Offering incentives that violate applicable advertising or consumer laws.

8. Data Protection & Privacy

8.1 Data Ownership

You retain ownership of data you submit. AlgoRift processes data to provide the Services, improve platform performance, develop new features, and comply with legal obligations.

8.2 Privacy Policy

Personal data handling is described in the AlgoRift Privacy Policy. By using the Platform you consent to processing in accordance with that policy.

8.3 Data Residency & Transfer

AlgoRift uses global infrastructure. Data may be stored or processed outside your jurisdiction. We maintain transfer mechanisms such as Standard Contractual Clauses where required.

8.4 Security Measures

AlgoRift implements technical and organizational measures including encryption in transit, role-based access controls, logging, and incident response procedures. No system is completely secure; you must implement complementary safeguards.

8.5 Incident Notification

AlgoRift will notify you of security incidents affecting your data without undue delay, outlining remediation steps consistent with regulatory requirements.

8.6 Data Subject Requests

You are responsible for responding to data subject requests originating from your own users. AlgoRift will assist to the extent required by law and outlined in applicable data processing agreements.

9. Compliance, Marketing & Communications

9.1 Regulatory Compliance

You must ensure your use of the Platform complies with all applicable laws, including advertising, consumer protection, privacy, export control, tax, and anti-corruption regulations.

9.2 Communications

AlgoRift may send service announcements, security alerts, and onboarding notices. Marketing communications are subject to your consent and may be opted out via account settings or unsubscribe links.

9.3 Records Retention

You must maintain adequate records of affiliate disclosures, payout approvals, and campaign terms. AlgoRift may retain logs for compliance, fraud prevention, and auditing.

10. Content Rights & Acceptable Use

10.1 License to AlgoRift

You grant AlgoRift a worldwide, non-exclusive, royalty-free license to host, display, reproduce, and analyze your content solely to deliver the Services, operate the Marketplace, and compile anonymized benchmarking.

10.2 Feedback

Feedback, ideas, or suggestions may be used to improve AlgoRift without obligation. You assign all rights to such Feedback or grant AlgoRift an irrevocable, perpetual license to use it.

10.3 Acceptable Use

You agree not to upload or share malicious code, unauthorized personal data, or content that infringes third-party rights. AlgoRift may remove content or disable integrations that pose risk.

11. Integrations & Third-Party Services

Connections to third-party services (e.g., Amazon Attribution, payment processors, analytics platforms) are subject to separate terms. AlgoRift is not responsible for third-party failures, data accuracy, or availability. You must maintain valid credentials and ensure integration usage complies with the third party's rules.

AlgoRift may provide connectors or API endpoints. You must not misuse APIs to exceed rate limits, circumvent security, or reverse engineer proprietary protocols.

12. Intellectual Property

The Platform, Documentation, and all related intellectual property rights remain the exclusive property of AlgoRift and its licensors. Except for limited access rights, no license is granted by implication or otherwise. You may not modify, translate, copy, distribute, or create derivative works from the Platform except as permitted by these Terms.

AlgoRift trademarks, logos, and trade dress may not be used without prior written consent. You may include AlgoRift-provided badges or partner identifiers in accordance with brand guidelines.

13. Confidentiality & Security

Each party agrees to protect the other's Confidential Information with reasonable care, using at least the same level of protection as it applies to its own confidential materials. Confidential Information may be disclosed to personnel or advisors bound by similar obligations and only on a need-to-know basis.

Obligations do not apply to information that becomes public without breach, is rightfully received from a third party, is independently developed, or must be disclosed by law (with prompt notice to the extent permitted).

14. Payments, Payouts & Taxes

AlgoRift supports multi-currency payouts, commission splits, and automated invoicing. By enabling payouts, you affirm that all beneficiaries are legitimate and that transactions comply with applicable tax laws.

• Payout Authorization: You authorize AlgoRift to transmit payment instructions to financial institutions or third-party processors.
• Reconciliation: You must review payout reports promptly and notify AlgoRift of discrepancies within 10 business days.
• Chargebacks & Recoveries: You are responsible for chargebacks, clawbacks, and disputes arising from your campaigns. AlgoRift may debit your account or request reimbursement.
• Tax Reporting: You are responsible for issuing tax forms or declarations to affiliates and for providing AlgoRift with tax identification documents when requested.

15. Risk Management & Suspension

AlgoRift may monitor Platform activity for fraud, abuse, or performance anomalies. We may suspend or restrict access if we detect suspicious behavior, excessive chargebacks, policy violations, or technical threats. In urgent circumstances we may act without prior notice to protect users or comply with law enforcement.

AlgoRift may terminate accounts for repeated or egregious violations, insolvency, or failure to pay fees. Upon termination you must cease use of the Platform, remove integrations, and export data before the deletion window closes.

16. Indemnification

You agree to defend, indemnify, and hold harmless AlgoRift, its affiliates, directors, officers, employees, and agents from claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from:

• Your breach of these Terms or applicable laws.
• Your content, campaigns, or payouts.
• Disputes between you and affiliates, sellers, or end customers.
• Your use of third-party integrations or data connections.

AlgoRift will promptly notify you of claims and may participate with counsel of its choice at its own expense.

17. Disclaimers & Limitation of Liability

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. ALGORIFT DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALGORIFT AND ITS LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY. ALGORIFT'S TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE FEES PAID OR PAYABLE BY YOU TO ALGORIFT FOR THE SERVICES IN THE SIX (6) MONTHS PRECEDING THE INCIDENT.

Certain jurisdictions do not allow limitation of liability; in such cases, AlgoRift's liability will be limited to the fullest extent permitted by law.

18. Dispute Resolution

The parties will first attempt to resolve disputes informally within 30 days. If unresolved, disputes will be submitted to binding arbitration administered by the Australian Centre for International Commercial Arbitration (ACICA) in Brisbane, Queensland, in English. Each party bears its own costs, and the arbitrator may award fees to the prevailing party. Either party may seek injunctive relief in court to protect intellectual property or confidential information.

19. Governing Law

These Terms are governed by the laws of Queensland, Australia, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

20. Modifications

AlgoRift may update these Terms to reflect product changes, regulatory updates, or industry best practices. Material changes will be communicated via email or in-app notifications at least 30 days prior to enforcement. Continued use after the effective date constitutes acceptance of the updated Terms.

Historical versions will be archived and made available upon request.
